TERMS AND CONDITIONS

1. INTRODUCTION & ACCEPTANCE OF TERMS
Welcome to Firstling MidstPortfolios ('FMP', 'Platform', 'we', 'us', 'our'), a social media platform operated by JiJo Digital Media, registered under Indian law. FMP provides features including timelines, portfolios, group portfolios, a marketplace, video & shorts, events, jobs, verified user badges, chat, pages, and blogs.
By registering, accessing, or using FMP, you ('User', 'you') unconditionally agree to these Terms & Conditions ("Terms"), our Privacy Policy, Refund/Cancellation Policy, Community Guidelines, and Grievance Redressal Policy. If you do not agree, you must immediately cease use of the Platform.
These Terms constitute a legally binding agreement between you and JiJo Digital Media (operating FMP) under the:
· Information Technology Act, 2000
· IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021
· Digital Personal Data Protection Act, 2023 (DPDP Act)
· Consumer Protection Act, 2019
· Indian Contract Act, 1872
2. ELIGIBILITY & USER REGISTRATION
2.1 Age Requirement
FMP is strictly designed and designated as an 18+ adult platform. You must be at least 18 years of age and fully competent to enter into a valid, legally binding contract under Section 11 of the Indian Contract Act, 1872. By initiating registration, you execute a legal representation and warranty that you satisfy this age requirement. In accordance with our compliance obligations under the DPDP Act, 2023, FMP does not knowingly process the data of minors. Any account discovered to be owned, operated, or accessed by a minor under the age of 18 will be summarily terminated without notice or liability.
2.2 Account Registration
To access the complete features of the Platform, you must complete the registration process by providing current, complete, and verifiable information, specifically your full legal name, a valid mobile phone number, and an active email address. You represent that all details provided are accurate and pledge to maintain their accuracy through prompt updates.
· Single Account Policy: To preserve platform integrity and minimize fraud, each distinct individual is permitted to maintain exactly one (1) active account. The creation, maintenance, or operation of duplicate, secondary, or systemic "sock-puppet" accounts is strictly prohibited and shall result in the immediate termination of all associated profiles.
· Authentication: You explicitly consent to receive One-Time Password (OTP) communications via SMS and/or email for the purposes of verification, multi-factor authentication, and secure access recovery.
2.3 Account Security
Your account is personal to you. You maintain sole and exclusive liability and responsibility for preserving the absolute confidentiality of your login credentials and for any and all activities, actions, or transactions conducted through your account. FMP shall not be liable for losses caused by unauthorized access to your account due to your failure to secure your credentials. You must immediately notify FMP upon detecting or reasonably suspecting any security breach, compromise, or unauthorized use of your account by emailing privacy@jijogroup.com
3. PLATFORM AS AN INTERMEDIARY - SAFE HARBOUR
FMP operates, classifies, and qualifies fundamentally as an "Intermediary" as defined under Section 2(1)(w) of the Information Technology Act, 2000. We host, store, and transmit user-generated content (UGC) supplied by third parties, users, and independent creators.
Pursuant to Section 79 of the Information Technology Act, 2000, and Rule 3 of the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, FMP is entitled to complete statutory "Safe Harbour" protection from liability regarding any third-party information, data, links, or content hosted on the Platform.
IMPORTANT: FMP acts as a passive conduit. Safe Harbour is contingent upon.
· Absence of editorial control or initiation of UGC
· Swift compliance with statutory takedown orders
· Strict enforcement of Rule 3 IT Rules, 2021
FMP does not execute pre-screening, editorial curation, or active modification of user content. Our role is strictly limited to providing a passive technical conduit. FMP's Safe Harbour protection remains applicable provided that, upon receiving "actual knowledge" via a valid court order or an authorized government notification under Section 79(3)(b) regarding unlawful content, FMP acts expeditiously to remove or disable access to such content. FMP disclaims all liability for UGC, subject to our compliance with the statutory takedown mandates outlined by Indian courts and regulatory bodies.
4. PROHIBITED CONTENT & CONDUCT
4.1 Absolutely Prohibited Content
In accordance with Rule 3(1)(b) of the IT (Intermediary Guidelines) Rules, 2021, and various provisions of the Bharatiya Nyaya Sanhita, 2023 (formerly the Indian Penal Code, 1860), users are strictly prohibited from hosting, displaying, uploading, modifying, publishing, transmitting, storing, updating, or sharing any information or content that:
· Is obscene, pornographic, paedophilic, invasive of another's privacy, or contains sexually explicit materials or conduct offensive to public decency under legal standards.
· Promotes hate speech, systematic harassment, defamation, or incites discrimination or violence targeted at individuals or groups based on religion, race, caste, sex, place of birth, descent, or disability, in violation of civil standards and protections.
· Threatens the unity, integrity, defence, security, or sovereignty of India, friendly relations with foreign states, public order, or incites the commission of any cognizable offense or prevents investigation of any offense.
· Infringes upon any patent, trademark, copyright, trade secret, or other proprietary or intellectual property rights of FMP or any third party.
· Impersonates any real person, business entity, government body, public official, or falsely states/misrepresents an affiliation with FMP or JiJo Digital Media.
· Deceives or misleads the addressee about the origin of the message, or knowingly communicates any misinformation, false reviews, fake discounts, bait advertising, or patently false and untrue information.
· Contains software viruses, malware, trojan horses, worms, time bombs, phishing strings, or any other destructive computer code designed to interrupt, destroy, or limit the functionality of any computer resource.
· Facilitates, displays, or organizes multi-level marketing (MLM) schemes, pyramid or Ponzi schemes, fraudulent investment plans, fake internships, or work-from-home scams requiring upfront fees from applicants.
· Constitutes Child Sexual Abuse Material (CSAM) or Child Sexual Exploitation Material (CSEM). FMP maintains a zero-tolerance policy for CSAM/CSEM; such content will be immediately deleted, the account terminated, and details preserved and reported to law enforcement agencies and relevant statutory bodies.
4.2 Restricted Advertising Categories
Advertisers seeking to display promotional material within the following regulated domains must receive written pre-approval from FMP prior to publication:
· Health & Medical Claims: Any advertisement featuring therapeutic, medicinal, or health claims (including phrases indicating guaranteed recovery or complete cures) must comply with the Drugs and Magic Remedies (Objectionable Advertisements) Act, 1954, and FSSAI standards.
· Financial Products & Securities: Offers regarding loans, credit, wealth management, or insurance products must be backed by valid licenses from the Reserve Bank of India (RBI) or the Insurance Regulatory and Development Authority of India (IRDAI).
· Cryptocurrency & Virtual Digital Assets (VDAs): Advertisements regarding VDAs, tokens, or digital assets must include mandatory statutory risk disclosures and align with ASCI guidelines and Financial Intelligence Unit (FIU-IND) regulations.
· Real Estate: Advertisements regarding real estate developments or property sales must explicitly provide a valid registration number issued under the Real Estate (Regulation and Development) Act, 2016 (RERA).
Advertisers in these restricted verticals must submit all necessary regulatory approvals, statutory filings, and certifications (SEBI, RBI, FSSAI, RERA) upon request. FMP reserves the right to reject, suspend, or cancel any advertisement that fails to meet compliance standards, without any liability or obligation to issue a refund.
4.3 Advertiser Compliance
All corporate entities, businesses, and individual advertisers leveraging the Platform's ad-network represent and warrant compliance with the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020. Advertisers must align their content with the code of self-regulation established by the Advertising Standards Council of India (ASCI). FMP strictly prohibits unfair trade practices, including inflating ratings, uploading fake reviews, publishing deceptive pricing, or conducting bait advertising. Advertisers assume sole legal liability for their promotional content, products, or services.
5. VERIFIED USER BADGE
5.1 What Verification Means
The issuance of an FMP Verified Badge (represented by a distinctive checkmark on a profile) signifies solely that the User has successfully completed our internal identity authentication protocols, consisting of verifying a government-issued photo identity document and passing OTP-based verification.
Legal Disclaimer: The Verified Badge does not constitute an endorsement, official recommendation, sponsorship, or validation by FMP or JiJo Digital Media regarding the user's professional character, financial status, accuracy of content, or the legitimacy and quality of their services, business operations, or products. FMP provides no warranties or guarantees regarding transactions conducted with verified users.
5.2 Verification Requirements
To apply for and maintain a Verified Badge, a User must provide:
· A clear, unedited copy of a valid, government-issued photo identification document (Aadhaar Card, PAN Card, or Driving Licence).
· Successful completion of multi-factor OTP verification tied to their registered Indian mobile number and email address.
· A live selfie submission for secure, real-time biometric face-match validation (processed immediately and not stored post-verification).
· For corporate or business verification: A valid Goods and Services Tax (GST) registration certificate, Certificate of Incorporation, or an equivalent official regulatory instrument.
5.3 Prohibitions
Users are prohibited from stating, implying, or suggesting that their FMP Verified status represents an endorsement, quality certification, or financial guarantee by FMP or JiJo Digital Media. Any such misrepresentation in public posts, bios, messages, or external marketing materials will result in the immediate revocation of the Verified Badge and suspension of the associated account.
5.4 Revocation
FMP retains the unilateral right to suspend, restrict, or permanently revoke a User's verification status at any time, without prior notice or liability, if:
· The information provided during the verification process is discovered to be inaccurate, falsified, or misleading.
· The account accumulates user complaints, flags, or reports indicating deceptive practices, fraud, or harassment.
· The User breaches these Terms, the Privacy Policy, or Community Guidelines.
· FMP has reasonable grounds to suspect that the identity or verification status is being misused.
6. JOB POSTINGS & EMPLOYMENT CONTENT
FMP provides an interactive marketplace and job board feature allowing employers to list professional opportunities, internships, and vacancies. Any individual or corporate entity posting job listings must be verified or present verifiable proof of business registration.
· Prohibited Postings: We strictly prohibit listings related to multi-level marketing (MLM), pyramid schemes, or positions requiring job seekers to make upfront payments, security deposits, or purchase mandatory training kits. Fraudulent offers and work-from-home scams will be removed upon discovery.
· User Due Diligence: Job seekers are advised to exercise caution and perform independent due diligence before sharing sensitive personal data, resumes, or entering into employment agreements with prospective employers.
Disclaimer: FMP acts solely as a technical matching venue connecting candidates with recruiters. FMP is not an employment agency and is not a party to any subsequent employment relationship. We disclaim all liability regarding recruitment outcomes, salary disputes, workplace conditions, or any legal claims arising from interviews or employment interactions initiated via the Platform.
7. PAYMENTS, BILLING & REFUNDS
7.1 Payment Collection
All monetary transactions, fees for premium portfolios, promotion charges, and ad-space purchases executed on FMP are processed securely through licensed, PCI-DSS compliant, third-party payment gateways (including Razorpay, PayU, or equivalent RBI-authorised gateways). To ensure financial security, FMP does not directly collect, process, or store credit card numbers, debit card details, UPI PINs, or net-banking credentials on its infrastructure. All financial payloads are handled by authorized intermediaries.
7.2 GST & Invoicing
All commercial fees levied by FMP are subject to applicable taxes under Indian fiscal regulations, including the Central Goods and Services Tax Act, 2017 (CGST), and state-specific GST enactments. FMP provides a digitally signed, GST-compliant invoice for all transactions. Unless explicitly stated otherwise, listed pricing is inclusive of applicable GST. Users seeking to claim input tax credit (ITC) must provide an accurate GSTIN and corporate name at the time of payment processing.
7.3 Refund Policy
· Active Campaigns: All fees paid to FMP for active promotions, launched advertisements, or active content subscriptions are non-refundable once the service or billing cycle has commenced.
· Pre-Live Rejections: If an advertisement or listing is reviewed and rejected by FMP's compliance desk before going live, FMP will issue a full refund of the applicable transaction value, processed within seven (7) business days to the original payment source.
· Dispute Windows: Any transactional discrepancy, double-billing event, or billing dispute must be raised by the User within seven (7) calendar days of the transaction timestamp by emailing billing@jijogroup.com
7.4 App Store Compliance
Where purchases are made through Apple App Store or Google Play Store In-App Purchase (IAP) mechanisms, the respective platform's refund and billing policies shall apply in addition to FMP's policy.
8. CONTENT OWNERSHIP & LICENCE
8.1 Your Content
FMP respects your intellectual property rights. You retain full ownership, copyright, and title to all original content, portfolios, text, images, videos, and graphics that you create, generate, and upload to the Platform.
By uploading, posting, or transmitting content on or through FMP, you grant FMP, its parent company JiJo Digital Media, and its affiliates a non-exclusive, royalty-free, worldwide, fully paid-up, sublicensable, and transferable license to host, store, cache, electronically display, publicly perform, reproduce, modify, adapt, and distribute your content solely for the operational purposes of managing, optimizing, protecting, and improving the Platform. This modification right is strictly limited to technical optimizations, such as video transcoding, image compression, or file formatting.
8.2 Platform Promotion
FMP may feature publicly posted content, portfolios, testimonials, or user profiles designated as "Public" within its own marketing collateral, promotional updates, or platform announcements to showcase creative talent on FMP. You may opt out of this promotional license at any time by updating your account Privacy Settings or by delivering an opt-out notice to privacy@jijogroup.com
8.3 Content Deletion
Upon the manual deletion of a post, portfolio item, or the formal termination of your user account, FMP will remove the content from public view and active application streams within standard operational timelines. However, you acknowledge that residual or fragmented copies of deleted content may persist within Content Delivery Network (CDN) caches, archival infrastructure, and system backups for a transitional period of up to ninety (90) days. Content subject to an active legal hold, court order, or law enforcement preservation request may be retained beyond this period in accordance with statutory requirements.
9. CONTENT MODERATION & REMOVAL
9.1 FMP's Moderation Rights
To maintain a safe community environment, FMP retains the right to remove, restrict, deprioritize, or disable access to any content, portfolio listing, advertisement, or job posting, in whole or in part, at any time and with or without prior notice, if such content violates these Terms, violates applicable Indian laws, infringes third-party rights, or is deemed harmful to the user community.
9.2 Moderation Methods
FMP employs a multi-layered content moderation framework designed to ensure platform safety, consisting of:
· Community reporting, flagging mechanisms, and direct user complaints.
· Automated content detection tools and algorithmic safety filters designed to intercept prohibited content types.
· Manual evaluations and contextual assessments conducted by trained human moderation teams.
· Binding compliance orders issued by Indian courts, statutory bodies, or authorized law enforcement agencies.
9.3 User Appeals
If your content is removed or your account is suspended or restricted, you have the right to request a formal review. You may file an appeal by emailing [email protected] within fifteen (15) calendar days from the date of the moderation action. FMP’s compliance team will review the request and communicate its determination within fifteen (15) business days. FMP's decision on such internal appeals shall be final.
9.4 Admin Limitations
FMP's content moderators are authorized to remove, block, or restrict non-compliant content. To preserve the integrity of user communications, moderators do not modify, edit, or alter the substance of user-created content, except to append regulatory notices, age-gating labels, or compliance indicators mandated by law.
10. GRIEVANCE REDRESSAL
10.1 Grievance Officer
In accordance with Rule 3(2) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, FMP has appointed a Designated Grievance Officer to address user complaints, privacy issues, and content policy infractions. 10.2 Grievance Timelines
FMP adheres to the statutory timelines for grievance redressal under Indian intermediary regulations:
· Acknowledgement: All incoming complaints received via email or in-app reporting tools will be acknowledged within twenty-four (24) hours of receipt, with a unique tracking ticket generated.
· Emergent Grievances: Complaints regarding content depicting sexually explicit acts, nudity, or impersonation - specifically under Rule $3(2)(b)$ of the IT Rule- will be reviewed and resolved by removing access to the content within twenty-four (24) hours of receipt.
· Standard Grievances: All other standard complaints, intellectual property claims, or user access disputes will be reviewed and resolved within fifteen (15) days from the date of acknowledgement.
10.3 In-App Reporting
FMP provides built-in "Report" and "Block" options accessible across user profiles, distinct posts, comment lines, advertisements, and job listings. Users are encouraged to utilize these tools to report platform violations.
11. DATA LOGS, RECORDS & LAW ENFORCEMENT
Pursuant to Rule 3(1)(h) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and directives issued by the Indian Computer Emergency Response Team (CERT-In), FMP maintains digital logs for safety, compliance, and investigative verification.
FMP stores and maintains the following records for a minimum statutory period of 180 days, even following account deletion or cancellation:
· User authentication logs, login-logout events, and session timestamps.
· Internet Protocol (IP) addresses, network routing data, and specific hardware/device identifiers captured during registration and subsequent interactions.
· Application logs detailing content creation, modification, and deletion events.
· Internal administrative records tracking moderator and compliance actions.
· Commercial transaction records and payment reference numbers.
FMP will comply with lawful disclosure requests, production orders, and search warrants issued by competent courts, authorized police officers, or statutory authorities (including the Data Protection Board of India) within the response timelines specified under applicable laws.
12. INTELLECTUAL PROPERTY RIGHTS
All right, title, and interest in the Platform's proprietary infrastructure - including but not limited to the "Firstling MidstPortfolios" and "FMP" trademarks, service marks, brand logos, graphic user interfaces (GUI), software source code, object code, algorithmic structures, visual layouts, databases, and proprietary features- are owned exclusively by JiJo Digital Media.
Except as explicitly permitted under these Terms, you are strictly prohibited from copying, scraping, reverse-engineering, decompiling, redistributing, or creating derivative works from FMP's intellectual property without prior written consent.
If you are an intellectual property owner and believe that content hosted on FMP infringes your copyright or trademark, you may submit a formal takedown request to [email protected] including:
· Full contact details of the rights owner or authorized representative.
· Clear description and identification of the protected work alleged to be infringed.
· The specific URL(s) or digital location on FMP where the allegedly infringing material resides.
· A statement executed in good faith that the use of the material is unauthorized.
· Your physical or electronic signature confirming the accuracy of the notice.
13. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable Indian law, FMP, its parent entity JiJo Digital Media, its directors, employees, or agents, shall not be liable to you or any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, business opportunities, goodwill, or data loss.
FMP's total aggregate liability arising out of or in connection with these Terms, whether in contract, tort, or otherwise, shall be strictly capped at the total amount of fees actually paid by you to FMP during the three (3) months immediately preceding the event giving rise to the liability claim. FMP assumes no liability for:
· User-generated content, messages, or marketplace listings.
· Third-party websites, hyperlinks, or service integrations.
· Temporary platform downtime, maintenance disruptions, or network latency.
· Data loss or system compromises resulting from circumstances beyond FMP’s reasonable control or due to a force majeure event
14. GOVERNING LAW & DISPUTE RESOLUTION
These Terms, along with all associated policies, are governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles.
Before initiating formal legal proceedings, you and FMP agree to attempt an amicable, informal resolution of any dispute, claim, or controversy. You must initiate this process by delivering a descriptive notice of dispute containing your account details and requested remedies to [email protected].
If an amicable settlement cannot be reached within forty-five (45) days of the notice, any remaining legal dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of India located within the territorial jurisdiction of FMP’s registered corporate seat.
15. AMENDMENTS TO TERMS
FMP reserves the right to modify, amend, update, or replace these Terms at its discretion. In the event of material modifications that substantively alter your rights or obligations, FMP will deliver notice to you via in-app notifications and/or an email blast sent to your registered address at least fifteen (15) calendar days prior to the effective date of the revised Terms.
Your continued access or use of the Platform following the effective date of the updated Terms constitutes your binding acceptance of the revised text. The most current version will always be accessible on the Platform.
